1. Acceptance of terms
By accessing or using the Vidzonia website or the authenticated Vidzonia application (together, the "Service"), operated by Convergent Global, you agree to be bound by these Terms & Conditions ("Terms"). If you do not agree to these Terms, you must not access or use the Service.
2. Eligibility
You must be legally capable of entering into a binding contract to use the Service. If you are using the Service on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.
3. Account registration
To use most features of Vidzonia you must create an account. You agree to provide accurate, current and complete information during registration and to keep your account information up to date. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.
4. Customer responsibilities
You are responsible for the accuracy, legality and rights status of any material you upload or submit to Vidzonia, including topics, scripts, documents, URLs, product information and media. You are also responsible for reviewing AI-assisted output before publishing or distributing it, and for ensuring your use of the Service complies with applicable law and third-party rights.
5. Acceptable use
Use of the Service is subject to our Acceptable Use Policy, which prohibits illegal, infringing, fraudulent, harmful and otherwise abusive uses of Vidzonia. We may suspend or terminate access for violations of that policy.
6. Uploaded content
"Uploaded content" means any material you submit to Vidzonia as a source for video creation, including text, documents, URLs, images and brand assets. You retain ownership of your uploaded content. You grant Vidzonia a limited licence to process, store and use that content solely to provide and improve the Service to you.
7. Intellectual property
The Vidzonia platform, including its software, workflows, branding and underlying technology, is owned by Convergent Global or its licensors and is protected by intellectual property laws. Nothing in these Terms transfers ownership of the platform itself to you.
8. AI-generated and AI-assisted output
Vidzonia uses AI-assisted workflows to help generate scripts, scenes, narration and video output based on your source material and instructions. Subject to these Terms and any applicable plan restrictions, and subject to your review and approval of the output, you own the video output you generate using your own content. Vidzonia does not guarantee that AI-assisted output will be accurate, complete, or free of errors, and you are responsible for reviewing all output before use.
9. Prohibited content and misuse
You must not use Vidzonia to create or distribute content that is illegal, infringing, deceptive, defamatory, or that impersonates a real person without consent, or that otherwise violates our Acceptable Use Policy. We reserve the right to remove content and suspend accounts involved in such misuse.
10. Plans, subscriptions and credits
Vidzonia is offered through subscription plans and/or credit packs as described on our Pricing page. Plan features, credit allocations and pricing may change from time to time; material changes will be communicated in accordance with applicable law.
11. Pricing and taxes
Prices displayed are exclusive of applicable taxes unless stated otherwise. You are responsible for any taxes, duties or similar governmental charges associated with your purchase, except for taxes based on Convergent Global's net income.
12. Payment processing
All payments are processed through authorised third-party payment partners. Vidzonia does not collect or store your full card details on this website; card and payment data are handled directly by our payment partner in accordance with applicable payment-industry standards.
13. Renewal and cancellation
Subscriptions renew automatically at the end of each billing cycle unless cancelled before the renewal date. You can cancel at any time from your account settings; cancellation stops future renewals but does not automatically refund the current billing period.
14. Refunds
Refund eligibility is governed by our Refund & Cancellation Policy.
15. Service availability
We aim to keep the Service available and reliable, but we do not guarantee uninterrupted or error-free operation. Scheduled maintenance, third-party outages, or unforeseen issues may affect availability from time to time.
16. Third-party services
Vidzonia may rely on third-party infrastructure, AI model providers and payment processors to deliver the Service. We select these providers with care, but we are not responsible for outages or issues caused solely by third-party systems outside our control.
17. Data and privacy
Our collection and use of personal data is described in our Privacy Policy, which forms part of these Terms.
18. Suspension and termination
We may suspend or terminate your access to the Service if you breach these Terms, misuse the Service, or if required by law. You may stop using the Service and close your account at any time.
19. Warranty disclaimers
The Service is provided "as is" and "as available" without warranties of any kind, express or implied, to the fullest extent permitted by applicable law.
20. Limitation of liability
To the fullest extent permitted by law, Convergent Global will not be liable for indirect, incidental, special or consequential damages arising from your use of the Service. Our aggregate liability for any claim relating to the Service is limited as further described in the final version of these Terms.
21. Indemnity
You agree to indemnify and hold Convergent Global harmless from claims arising out of your misuse of the Service, your uploaded content, or your violation of these Terms or applicable law.
22. Governing law
These Terms are governed by the laws of India, without regard to conflict-of-law principles.
23. Dispute resolution
We encourage you to first raise any dispute with our support team. Formal dispute resolution mechanisms (including jurisdiction and, where applicable, arbitration) will be specified in the final, legally reviewed version of these Terms.
24. Changes to these terms
We may update these Terms from time to time. Material changes will be notified through the Service or by email where appropriate. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
