1. Scope and acceptance
These Terms govern access to and use of the Vidzonia website and authenticated software service operated by Convergent Global Private Limited. By creating an account, using the service or accepting these Terms at checkout, you agree to them. If you act for an organisation, you confirm that you have authority to bind it.
The authenticated application and the offer information accepted at checkout govern transaction-specific facts such as the selected item, price, currency, taxes, credits, validity, subscription period and renewal status. These Terms govern general use. Our Privacy Policy, Acceptable Use Policy, Delivery Policy and Refund and Cancellation Policy form part of these Terms.
2. Accounts
You must provide accurate and current information, keep credentials confidential and promptly notify us of suspected compromise. You are responsible for account activity except to the extent caused by our breach of a legal duty that cannot be excluded. Accounts and credits may not be transferred, shared, sold or resold unless the accepted offer expressly permits it.
3. Customer materials and instructions
You retain your rights in material you submit or instruct us to use. You give us and service providers acting for us a limited, non-exclusive permission to host, copy, process, transmit, adapt and store that material only as reasonably needed to provide, secure, support and lawfully operate Vidzonia.
You confirm that you have all ownership rights, licences, permissions, consents, releases, notices and lawful bases needed for submitted text, prompts, scripts, documents, URLs, images, video, audio, music, voices, logos, trademarks, personal data, confidential information and other material. You must not submit material whose processing would violate law, contract, confidentiality, privacy, publicity, intellectual-property or other rights.
You are responsible for your instructions and for reviewing, approving, editing, publishing, distributing and otherwise using resulting content. Vidzonia is not your publisher, lawyer, advertising reviewer, regulator or compliance adviser.
To the maximum extent permitted by law, you will indemnify Convergent Global Private Limited and its officers, employees and agents against third-party claims and reasonable external costs arising directly from your materials or instructions, missing rights or consents, unlawful or infringing use of output, or material breach of these Terms or the Acceptable Use Policy. This does not apply to the extent a claim was caused by our conduct for which liability cannot lawfully be excluded. We will give reasonable notice and permit reasonable participation in the defence.
4. AI-assisted output
Vidzonia uses automated and AI-assisted systems to help create scripts, scenes, narration, visuals and video assemblies. Output may contain errors, omissions, similarities to other material, unsuitable material or content requiring editing.
We do not guarantee that output is accurate, complete, current, unique, error-free, non-infringing, fit for a particular purpose, compliant with your industry-specific or jurisdiction-specific requirements, accepted by any platform, or capable of producing sales, engagement, conversion, revenue or another commercial result.
You must conduct appropriate human review before publishing or using output, including factual, legal, regulatory, copyright, trademark, privacy, advertising, accessibility, sector-specific and internal-policy review. Vidzonia does not perform or promise that review for you.
5. Acceptable use
You must comply with the Acceptable Use Policy and applicable law. You must not use Vidzonia for fraud, abuse, infringement, unlawful or deceptive content, security interference, circumvention of limits, unauthorised automation or Trial abuse.
6. Plans, subscriptions and Trial
The application displays current offers and commercial terms before purchase. A Trial is a limited promotional opportunity to evaluate available workflows before buying. Trial availability, credits, functions and duration may be limited by the applicable offer. Trial credits have no cash value and may be withdrawn or restricted for abuse, duplicate-account use, fraud or circumvention of controls.
A subscription or plan period is governed by its accepted checkout record. No recurring debit, automatic renewal or continuing paid period applies unless expressly displayed and separately authorised through the application. Cancellation is prospective and does not by itself reverse a completed purchase or create a refund right.
7. Credits
Vidzonia credits are contractual service-consumption units used to measure access to specified actions. They are not money, stored monetary value, a wallet balance, a deposit, a security or a cash equivalent; they do not earn interest and are not redeemable for cash except where a monetary remedy is required by law.
Credits are subject to the validity and expiry terms displayed for the applicable plan, purchase or account. Under our current standard plans, credits are valid for 30 days and unused credits expire at the end of the applicable validity period and do not carry forward. Top-up credits can only be used while you have an active subscription. Different terms may apply where expressly stated for a specific promotional, enterprise or other special arrangement. Credits are generally non-transferable, and unused credits do not themselves create a cash-refund entitlement.
We may adjust credits or related entitlements where reasonably necessary to give effect to a verified refund, chargeback, reversed payment, fraud, abuse or lawful account action, including where necessary to prevent duplicate recovery.
8. Charges, taxes, payment and delivery
Before purchase, the application displays the selected item, currency, amount, applicable taxes, credits, validity and other material offer terms. You are responsible for accurate billing, location and tax information. Payments are processed by authorised payment providers. Access and fulfilment are digital and depend on verified payment and account state.
Processing and generation times vary; no fixed completion or delivery time is promised unless an accepted offer expressly states one. Tax Invoices, Payment Receipts and Credit Notes are made available where applicable under Vidzonia's financial-document rules.
9. Refunds and failed transactions
Our Refund and Cancellation Policy applies. Because Trial credits allow prospective customers to evaluate Vidzonia, paid subscriptions, credit packs, consumed credits and unused purchased capacity are generally non-refundable merely because you change your mind, subjectively dislike an otherwise successfully generated output, stop using Vidzonia, fail to use purchased capacity, leave credits unused, or provide material or instructions that cause an unsuitable result.
For a reported technical failure attributable to Vidzonia, we ordinarily investigate first. Where appropriate, the remedy sequence is retry or re-performance, restoration or re-credit of credits actually deducted for the failed transaction, and a monetary refund or other remedy only where required by law or where re-performance or re-credit is unavailable or inappropriate. This does not create a general cash-refund or partial-refund entitlement.
Please report an apparent generation or service problem within seven days after the affected transaction or output so relevant evidence remains available for prompt investigation. This is an operational request only. It does not shorten a statutory limitation period, extinguish a right, discharge liability through expiry of time or restrict a right that cannot lawfully be limited.
10. Service availability and changes
Vidzonia is provided without a service-level agreement unless a separate written agreement expressly creates one. Availability and processing may be affected by maintenance, queues, capacity controls, rate limits, internet or network failures, customer systems, cloud infrastructure, AI providers, payment providers, media or content providers, email providers and other dependencies.
We may maintain, secure, modify, replace, suspend or discontinue features or integrations. Where reasonably practicable and material to an active paid service, we will provide appropriate notice or a reasonable operational remedy, subject to applicable law. We do not guarantee that a feature, provider, model, asset source or integration will remain available indefinitely.
Neither party is responsible for delay or failure caused by events beyond its reasonable control, except payment obligations already due and responsibilities that cannot lawfully be excluded.
11. Storage and customer copies
Unless an accepted offer expressly states otherwise, Vidzonia does not guarantee indefinite storage or availability of customer materials, projects, previews or outputs. You should retain copies of final outputs and records you need. Deletion and retention remain subject to the Privacy Policy, lawful obligations, security needs and active dispute or payment records.
12. Intellectual property
Vidzonia software, branding, interfaces, documentation and platform materials belong to Convergent Global Private Limited or its licensors. No platform intellectual-property rights are transferred except the limited right to use the service under these Terms. Rights in customer materials remain with the customer. The legal status and protectability of AI-assisted output may vary; we do not guarantee exclusivity, registrability or non-infringement.
13. Warranties and disclaimers
To the maximum extent permitted by law, Vidzonia and output are provided “as available” and, where legally appropriate, “as is.” We disclaim warranties, representations, conditions and guarantees that may lawfully be disclaimed, including accuracy, completeness, availability, compatibility, merchantability or satisfactory quality, fitness for a particular purpose, title, non-infringement, results and uninterrupted or error-free operation.
We do not warrant third-party services or content, customer materials, customer systems or indefinite storage. Nothing in these Terms excludes statutory warranties, remedies or liabilities that cannot lawfully be excluded or limited.
14. Excluded damages
To the maximum extent permitted by law, Convergent Global Private Limited will not be liable under any theory for indirect, consequential, incidental, special, exemplary or punitive damages, or loss of profits, revenue, business, opportunity, goodwill or reputation, data or its integrity, use, business interruption or costs of substitute services, arising from Vidzonia or these Terms, even if advised that such loss might occur. This exclusion does not apply where a category of loss or liability cannot lawfully be excluded.
15. Limitation of liability
To the maximum extent permitted by law, for ordinary claims arising from one identifiable paid Vidzonia generation, job, purchase or transaction, our aggregate contractual monetary liability will not exceed the amount actually charged for, or economically attributable to credits actually deducted for, that affected transaction.
For an ordinary claim genuinely not attributable to one paid transaction, aggregate contractual monetary liability will not exceed the lower of the total amounts actually paid to Vidzonia during the three months immediately before the event giving rise to the claim and INR 5,000 (or a legally supported transaction-currency equivalent). Related events and claims are aggregated. For unpaid Trial or free use, the contractual remedy is cessation, re-performance or re-credit where appropriate and monetary liability is zero, except where law requires otherwise.
These limitations do not limit liability that cannot lawfully be limited. The minimum mandatory exceptions, including any treatment required for fraud, wilful misconduct, death or personal injury, consumer remedies or other legally non-excludable liability, apply only to the extent required by law.
16. Suspension and termination
We may restrict, suspend or terminate access where reasonably necessary because of fraud, suspected fraud, payment failure, chargeback, abuse, security risk, illegal or infringing content, material Terms or AUP breach, provider or platform requirement, legal process, or risk to users or the service. Urgent protective action may be immediate; where practicable, we may provide notice and an opportunity to address a remediable issue.
Suspension or termination caused by customer breach, fraud, chargeback or misuse does not itself create a refund entitlement. Credits and financial consequences follow the accepted offer, governed account records, Refund Policy and applicable law.
17. Privacy and providers
The Privacy Policy explains personal-data handling. We may use cloud, AI, payment, media/content, email and other providers. Their availability and processing may be independently controlled. This does not remove responsibilities that applicable law places on us, but we do not guarantee independent provider availability or conduct.
18. Governing law and disputes
These Terms are governed by Indian law. Before commencing an ordinary contractual proceeding, the parties should attempt good-faith resolution through support and our grievance process, without preventing urgent relief or use of rights and forums that cannot lawfully be restricted. Subject to mandatory law, courts at Gurugram, Haryana will have jurisdiction.
19. General
If a provision is invalid or unenforceable, it will be limited or severed only to the minimum extent necessary. Failure to enforce a provision is not a waiver. You may not assign these Terms without our consent. We may assign them as part of a genuine reorganisation, financing or transfer of Vidzonia, subject to law and without reducing mandatory rights. A new version will not rewrite historical acceptance records.
